Terms of Service

These Terms of Service (“Terms”) govern registration and participation in courses, webinars, and events offered through the CPESNJ website (the “Site”). By creating an account, submitting a registration, or attending a CPESNJ offering, you agree to these Terms and to our Privacy Policy.

If you are registering on behalf of another person, you represent that you are authorized to bind that person to these Terms.


1) Key Definitions

  • CPESNJ, “we,” “us,” or “our”: Continuing Professional Education Services, LLC and its affiliates.
  • Registrant, “you” or “your”: The individual who creates an account and/or completes a registration.
  • Course: Any CPESNJ class, webinar, workshop, or program available for registration on the Site.
  • Ticket/Registration: A paid or free enrollment for a Course.
  • Organizer Services: The Site features we provide to list Courses, collect registrations, process payments, and issue confirmations or certificates.

2) Eligibility; Account

You must be at least 18 and capable of entering a binding contract to register. You are responsible for the security of your account credentials and for all activity under your account. Keep your contact information current so we can deliver confirmations, updates, and credit documentation.


3) Course Listings; Changes

We may update Course descriptions, instructors, schedules, delivery mode (in-person vs. virtual), and locations. If a material change occurs after you register, we will notify you using the email on file. See Section 10 (Cancellations & Changes) for your options.


4) Prices, Fees, and Taxes

Unless noted otherwise, prices are listed in U.S. dollars and do not include applicable taxes or payment processing fees. You are responsible for any taxes required by law. Discounts or promotional codes must be applied at the time of purchase and cannot be combined or applied retroactively.


5) Payments; Invoices

Payments are processed by our third-party payment processor(s). By submitting a payment, you authorize the processor to charge your selected payment method for the total amount shown at checkout. CPESNJ does not store full payment card details. If your payment method fails or is later reversed, you remain responsible for the amount due and any processor assessments (e.g., chargeback fees).

For employer-paid registrations, invoices are due upon receipt unless a different due date appears on the invoice. We may cancel an unpaid registration.


6) Registration Confirmations & Entry

After successful checkout, you will receive a confirmation email. For in-person Courses, bring a government-issued ID if requested. For virtual Courses, do not share access links; sharing may result in removal without refund.

Registrations are personal and may not be resold. Transfers are handled under Section 9.


7) Attendance, Credits & Certificates

Many Courses carry professional credits (e.g., LSRP, CLE, PE/PDH). Credit eligibility depends on the rules of the relevant accrediting body and your verified attendance and participation (for example, sign-in verification, polls, or quizzes).

  • Partial attendance may reduce or eliminate credit.
  • Make-ups are offered only if stated in the Course listing.
  • Certificates are issued electronically to the email on file after CPESNJ verifies all requirements.

You are responsible for confirming that a Course meets your licensing board’s requirements before registering.


8) Refunds

Unless a Course page states a different policy, the following applies:

  • Refund window: Full refund if you cancel 7 or more calendar days before the Course start.
  • Late cancellations: If you cancel 6 to 0 days before the start, no refund.
  • No-shows: No refund.
  • Bundles/series: Refunds only if none of the component sessions have occurred.

All refunds are issued to the original payment method minus non-recoverable payment processor fees, if any. Processing times depend on your bank.


9) Substitutions & Transfers

You may request a one-time substitution of attendee or a transfer to a future scheduled offering of the same Course if space permits. Fees may apply. Requests must be received at least 48 hours before the Course start.


10) Cancellations, Postponements & Force Majeure

We may cancel or postpone a Course for reasons including low enrollment, instructor illness, facility closure, platform outages, or events beyond our control (e.g., severe weather, emergency orders, strikes, pandemics).

  • If cancelled: You may choose a full refund or a credit toward another Course.
  • If postponed: We will offer your choice of the new date, a credit, or a refund.
    We are not responsible for ancillary expenses (travel, lodging, etc.).

11) Course Conduct; Recording

Professional conduct is required. CPESNJ may remove any attendee for disruptive behavior, harassment, or violation of these Terms; no refund will be issued.

Unless stated otherwise on the Course page, CPESNJ may record live Courses and capture chat/Q&A for educational and administrative purposes. By attending, you consent to being recorded and grant CPESNJ a nonexclusive license to use the recordings, including your name, likeness, and voice, for Course administration and future CPESNJ educational use. If you do not wish to appear on video, keep your camera off and avoid speaking; you may use chat for questions.

Attendees may not record or rebroadcast Courses without written permission.


12) Content; Intellectual Property

All Course materials, slides, recordings, handouts, exams, and the Site’s content are protected by copyright and other laws. You receive a limited, personal, nontransferable license to use materials for your own professional education. You may not copy, distribute, sell, post publicly, or create derivative works without written permission from CPESNJ or the content owner.


13) Prohibited Uses

You agree not to:

  • Interfere with Site operations or security.
  • Misrepresent identity or credentials, or register others without authority.
  • Resell, barter, or advertise registrations.
  • Upload or transmit malware, unauthorized commercial solicitations, or illegal content.
  • Scrape, harvest, or mine the Site or its data except through documented features.

14) Compliance with Laws

You will comply with all applicable laws, professional rules, export controls, and licensing or accreditation requirements connected to your participation and use of Course content.


15) Privacy & Data

Our collection and use of personal data is described in our Privacy Policy. We share necessary data with service providers (e.g., payment processors, webinar platforms, LMS vendors, accreditation bodies) to deliver Organizer Services and verify credit. Those providers process data under their own terms and privacy policies.


16) Accessibility

We aim to make Courses accessible. To request reasonable accommodations, contact us at least 10 days before the Course. Some accommodations may require additional time or may not be feasible for reasons outside our control.


17) Third-Party Services

Courses may rely on third-party platforms (e.g., video conferencing, LMS, exam tools). Your use of those services is subject to their terms. CPESNJ is not responsible for third-party outages or changes.


18) Disclaimers

Courses are provided for educational purposes, not legal, engineering, or other professional advice for a specific matter. Application of concepts to your projects is your responsibility.
THE SITE, COURSES, AND MATERIALS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPESNJ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.


19) Limitation of Liability

To the fullest extent permitted by law, CPESNJ, its instructors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; loss of data; or business interruption. Our total liability for any claim relating to a registration or Course is limited to the amount you paid for that registration.

Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.


20) Indemnification

You will defend, indemnify, and hold harmless CPESNJ and its officers, employees, and instructors from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of your: (a) use of the Site or Course materials; (b) violation of these Terms or law; or (c) infringement or misappropriation of third-party rights.


21) Suspension & Termination

We may suspend or terminate access to the Site or a Course if we believe you violated these Terms, created risk or legal exposure, or failed to pay. Sections that by their nature should survive (e.g., 7–13 and 18–25) will survive termination.


22) Communications

By registering, you consent to receive transactional emails and Course communications (confirmations, reminders, updates, certificates). You may also opt in to marketing emails; you can unsubscribe at any time.


23) Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
Informal process: Before filing a claim, you agree to email us at [info@cpesnj.com] with a brief description of the dispute and allow 30 days to resolve it informally.
Venue: If not resolved, disputes will be brought exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction there.
Class actions: Claims must be brought on an individual basis; class, consolidated, or representative actions are not permitted.

(If CPESNJ prefers binding arbitration instead of courts, replace the “Venue” paragraph with an arbitration clause.)


24) Updates to Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply to registrations made after the effective date and to ongoing Site use. If a change materially affects an upcoming Course you already purchased, we will notify you and honor the policy in effect at the time of purchase for that Course.
